Welcome to Trade Driver!
These Terms and Conditions (“Terms”) govern your access to and use of the Trade Driver platform, including all associated tools, services, applications, and mobile or web interfaces (collectively, the “Platform”). The Platform is owned and operated by Trade Driver, Inc. (“we,” “us,” or“our”).
By accessing or using the Platform, you (“you,” “your,” or“User”) agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Platform.
1. Acceptance of Terms
By creating an account or using any part of the Trade Driver Platform, you represent that you are authorized to enter into this legally binding agreement and that you will use the Platform in accordance with all applicable laws. We may update these Terms from time to time. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
2. Notifications and Communications
By creating an account or submitting your contact information, you consent to receive transactional and promotional communications from Trade Driver. You may opt out at any time by following the unsubscribe link in our emails or by contacting us directly.
3. Description of Services
Trade Driver is a software platform that facilitates and manages vehicle trades between automotive dealerships. Features include:
Trade scheduling
Trip and route tracking
Digital trade approvals
Invoice generation and payment coordination
Delivery coordination and logistics tracking
We reserve the right to modify or discontinue features without notice. Access to the Platform is provided “as-is.”
4. User Accounts
You must register an account to use the Platform. You are responsible for maintaining the confidentiality of your login credentials and all activity under your account. You agree to provide accurate, up-to-date information. We reserve the right to suspend or terminate accounts for violations of these Terms.
5. Subscriptions and Payment
Access to certain Platform features may require a paid subscription. By subscribing, you agree to recurring billing terms based on your selected plan. Fees are non-refundable. You may cancel your subscription at any time; cancellation will apply at the end of the billing period.
We may suspend access for failed payments or outdated billing information. Pricing is subject to change with advance notice.
6. Limitations of Liability
Trade Driver provides its Platform on an “as-is” and “as-available” basis. We do not guarantee uninterrupted service or specific results. You acknowledge that vehicle trades, payment processes, and routing decisions are your responsibility.
To the maximum extent permitted by law, Trade Driver disclaims liability for any damages, including indirect or consequential losses. Our total liability is limited to the amount you have paid in the prior six (6) months.
7. License and Acceptable Use
You are granted a non-exclusive, non-transferable, revocable license to use the Platform for its intended business purpose. You may not:
Reverse engineer or copy the Platform
Use automated systems to access the Platform
Disrupt platform functionality or security
Violate third-party rights while using the Platform
8. Intellectual Property
All content on the Platform—including software, branding, text, visuals, and documentation—is the property of Trade Driver, Inc. or its licensors. Unauthorized use or distribution is strictly prohibited.
9. Copyright Complaints

10. Prohibited Conduct
You agree not to:
Access or use the Platform for unlawful purposes
Use bots or scrapers without permission
Interfere with or overload our infrastructure
Attempt unauthorized access to Platform systems
11. No Warranties
We do not guarantee that the Platform will be error-free or meet your expectations. Use of the Platform is at your own risk.
12. Indemnification
You agree to indemnify and hold harmless Trade Driver and its affiliates from any claims, losses, or damages resulting from your violation of these Terms or misuse of the Platform.
13. Changes to the Terms
We may revise these Terms at any time. Continued use of the Platform after changes go into effect constitutes acceptance. We recommend reviewing these Terms periodically.
14. Privacy
Use of the Platform is subject to our Privacy Policy, which outlines how we collect, store, and use your data.
15. Entire Agreement
These Terms, together with the Privacy Policy, represent the entire agreement between you and Trade Driver regarding your use of the Platform.
16. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full effect.
17. Force Majeure
We are not liable for delays or failure to perform due to causes beyond our reasonable control (e.g., natural disasters, power outages, internet disruption).
18. Termination
We reserve the right to suspend or terminate your account and access to the Platform at any time for any violation of these Terms.
19. Dispute Resolution
Any dispute will be resolved through binding arbitration in Birmingham, Alabama, in accordance with the rules of the American Arbitration Association. Each party will bear its own legal costs.
20. Governing Law
These Terms shall be governed by the laws of the State of Alabama, United States.
